Article 1 – Definitions

  1. 1.1Just Socials: the business operating under the names Just Socials, Just Married Content and Just Events, based in Rotterdam and registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number [KvK-nummer].
  2. 1.2Client: any natural person or legal entity that enters into an agreement with Just Socials or to whom Just Socials submits a quote.
  3. 1.3Consumer: a Client who is a natural person and who is not acting in the course of a profession or business.
  4. 1.4Agreement: any written agreement between Just Socials and the Client concerning the provision of services.
  5. 1.5Services: all activities of Just Socials in the field of capturing, editing and delivering photo and video content of weddings and (company) events, including the recap video, the RAW Gallery, edited videos, online meetings and related activities.
  6. 1.6Package: a combination of Services at a fixed price, as described on the website or in the quote (for example The I Do Experience, The Wedding Story, The Full Wedding, The Cheers Experience, The Event Story and The Full Event).
  7. 1.7Event: the wedding or company event (such as a Christmas party, New Year's drinks or an anniversary) for which the Services are provided.
  8. 1.8Content: all audiovisual materials that Just Socials captures or creates under the Agreement, including videos, photos, RAW footage and edited videos.
  9. 1.9RAW Gallery: the collection of separate, unedited or barely edited footage of the Event that the Client receives as part of the Package.
  10. 1.10In Writing: by email, digital acceptance, signed document or any other electronic message (such as WhatsApp) that can be stored.

Article 2 – Applicability

  1. 2.1These terms and conditions apply to all quotes, agreements and activities of Just Socials, including Just Married Content and Just Events.
  2. 2.2Deviations are valid only if agreed In Writing.
  3. 2.3The Client's own general terms and conditions are expressly excluded.
  4. 2.4If the Client is a Consumer, the provisions of article 18 also apply. In the event of a conflict, those provisions prevail.

Article 3 – Quotes and formation of the Agreement

  1. 3.1Quotes are non-binding and valid for fourteen (14) days, unless stated otherwise in the quote.
  2. 3.2An Agreement is formed once the Client has confirmed the quote or the chosen Package In Writing, or as soon as Just Socials starts carrying out the work.
  3. 3.3The date of the Event is only reserved for the Client once the Agreement has been formed and the deposit (article 8) has been received. Until then, the date may be promised to another client.
  4. 3.4Packages, prices and descriptions on the website are indicative for as long as no Agreement has been concluded. Obvious mistakes or errors do not bind Just Socials.
  5. 3.5Just Socials reserves the right to refuse assignments.

Article 4 – Performance of the Agreement

  1. 4.1Just Socials performs the Agreement to the best of its knowledge and ability and with the care that may be expected of a skilled content creator.
  2. 4.2Capturing and editing Content is creative work. The choice of shots, the style and the editing are determined by Just Socials, within the wishes and style agreed with the Client. With regard to the artistic result, Just Socials has a best-efforts obligation and expressly not an obligation to achieve a specific result. Just Socials does deliver the components named in the Agreement.
  3. 4.3Just Socials cannot guarantee that every moment or every person will be captured. Circumstances beyond its control, such as deviations from the programme, limited access, lighting conditions or instructions from the venue or master of ceremonies, may affect the footage.
  4. 4.4The duration stated in the Package (for example four hours) is the time that Just Socials is present at the agreed location, from the agreed start time. If the Event runs over, extra hours can be added in consultation for a surcharge (article 7).
  5. 4.5The durations of the various Packages apply to Events within a travel distance of at most one (1) hour from Just Socials. The greater the travel distance, the more the total length of the Event needs to be taken into account. The duration and the price of the Package may therefore be adjusted. Just Socials will agree this with the Client in advance and record it In Writing in the quote. Article 8 applies to travel costs and travel time.
  6. 4.6Just Socials is entitled to engage third parties in performing the Agreement, such as a second filmer or an editor. Just Socials remains responsible for the performance.

Article 5 – Obligations of the Client

  1. 5.1The Client provides all necessary information in good time, such as the run sheet or schedule, the location(s), contact persons and special requests.
  2. 5.2The Client ensures that Just Socials is allowed to film and photograph at the location and has access to the spaces needed for this. The Client reports any restrictions of the location in advance.
  3. 5.3For a presence of four (4) hours or longer, the Client provides a meal and drinks for Just Socials, or reimburses the costs thereof.
  4. 5.4Delay or damage resulting from missing or incorrect information is at the Client's expense.
  5. 5.5The Client is responsible for the legal permissibility of materials it supplies, such as music requests, logos and texts.
  6. 5.6If the Client does not provide the necessary input, feedback or access for thirty (30) days after Just Socials has asked for it, the payment obligations remain fully in force and Just Socials is entitled to suspend the work.

Article 6 – Delivery and approval

  1. 6.1The Content is delivered digitally, for example via a download link or an online gallery.
  2. 6.2The ready-to-share edit that comes standard with every Package is, in principle, delivered within forty-eight (48) hours after the Event. The other components (recap video, RAW Gallery and other edited videos) are delivered within the period stated in the quote or the Agreement, or otherwise within a reasonable period.
  3. 6.3Delivery times are target times and not strict deadlines. Exceeding them only gives rise to a right to compensation or dissolution after the Client has given Just Socials notice of default In Writing and has granted it a reasonable period in which to still deliver.
  4. 6.4The Client checks the delivered Content and reports any comments In Writing within fourteen (14) days after delivery. After that period, the Content is deemed approved.
  5. 6.5The Client is itself responsible for safeguarding the delivered files. Download links are valid for a limited time; the validity period is stated upon delivery. Just Socials keeps the source material as a backup for three (3) months after delivery. After that, it is under no obligation to keep the material or to deliver it again.
  6. 6.6Undelivered source material, such as unused recordings, will not be provided unless agreed otherwise In Writing.

Article 7 – Revisions and additional work

  1. 7.1One (1) round of corrections per recap video and per edited video is included. This allows errors and deviations from the agreed wishes to be corrected.
  2. 7.2Changes outside the original agreements, such as an entirely new edit, extra videos, extra hours or requests outside the Package, count as additional work.
  3. 7.3Additional work is carried out at the applicable hourly rate or a surcharge agreed in advance, and is presented to the Client beforehand.
  4. 7.4Rush orders, such as faster delivery than usual, are carried out only in consultation and for a surcharge.

Article 8 – Prices and payment

  1. 8.1All prices are exclusive of VAT (21%, where applicable), travel costs and travel time, unless stated otherwise. A quote to a Consumer states the total amount including VAT.
  2. 8.2Travel costs and travel time are charged separately according to the rates in the quote. For international assignments and any accommodation costs, these costs are charged in addition to the package price.
  3. 8.3Unless agreed otherwise, the following payment schedule applies:
    • a deposit of thirty percent (30%) of the total amount after confirmation of the Agreement;
    • the remainder no later than fourteen (14) days before the day of the Event.
  4. 8.4Invoices are sent by email and must be paid within fourteen (14) days of the invoice date or, if earlier, no later than the day before the Event.
  5. 8.5Payment is made without suspension, discount or set-off. This does not apply to Consumers (see article 18).
  6. 8.6If the Client does not pay on time, the Client is in default by operation of law, without any further notice of default being required. For Consumers, article 18 applies.
  7. 8.7From the moment of default, the Client owes statutory interest on the outstanding amount until the day of full payment; for Clients who are not Consumers, this is the statutory commercial interest rate.
  8. 8.8All extrajudicial and judicial collection costs incurred by Just Socials to obtain payment are at the Client's expense. For Clients who are not Consumers, the extrajudicial collection costs amount to at least € 150, without prejudice to the right to full compensation.
  9. 8.9Just Socials is entitled to suspend its work and the delivery of Content for as long as full payment is outstanding. Suspension does not affect the payment obligation.
  10. 8.10In the event of bankruptcy, suspension of payments, liquidation or attachment on the part of a Client who is not a Consumer, all outstanding claims become immediately and fully due and payable.

Article 9 – Duration and termination

  1. 9.1The Agreement applies for the duration of the assignment and ends as soon as the agreed Services have been performed and the Content has been delivered.
  2. 9.2Early termination by the Client counts as cancellation (article 10).
  3. 9.3Just Socials is entitled to terminate the Agreement, in whole or in part, with immediate effect if the Client fails to fulfil its obligations, for example by not paying, after Just Socials has given the Client a reasonable period to remedy this. The right to payment of what is owed and to compensation for damages remains.

Article 10 – Cancellation and change of date

  1. 10.1Cancellation by the Client must be made In Writing. The moment of receipt by Just Socials is decisive.
  2. 10.2In the event of cancellation more than thirty (30) days before the day of the Event, thirty percent (30%) of the total contract value is due.
  3. 10.3In the event of cancellation thirty (30) days or less before the day of the Event, one hundred percent (100%) of the total contract value is due.
  4. 10.4Once the work has started on the day of the Event, no refund is possible.
  5. 10.5If Just Socials manages to fill the freed-up date with another assignment of comparable size, it will deduct the cancellation fee owed to a reasonable extent.
  6. 10.6A request to move the Event to another date is assessed in consultation and depends on the availability of Just Socials. If Just Socials is not available on the desired date, the Client can choose another date or cancel in accordance with this article.
  7. 10.7If Just Socials cancels the Agreement for a reason other than force majeure (article 16), it will refund the amounts already paid and will make an effort to find a replacement in consultation.

Article 11 – Intellectual property and rights of use

  1. 11.1The copyright and other intellectual property rights in the Content rest with Just Socials.
  2. 11.2After full payment, Just Socials grants the Client a non-exclusive, non-transferable right of use, for an indefinite period, to the delivered Content. A Consumer may use the Content for private purposes and share it with family, friends and guests, including on their own social media. A Client who is not a Consumer may use the Content for its own internal and external communication, such as the website, newsletters and its own social media channels.
  3. 11.3Without the consent of Just Socials given In Writing, the Client may not sell the Content, license it to third parties or use it for purposes other than those described above.
  4. 11.4Formats, templates, working methods, source files and undelivered recordings remain the property of Just Socials.
  5. 11.5Just Socials may use the Content for portfolio and promotional purposes, such as its website and social media, unless the Client objects In Writing. The Client can raise this objection when concluding the Agreement or at a later moment; images that have already been published will then be removed within a reasonable period. For Events of Clients who are not Consumers, Just Socials does not use images in which confidential business information is visible.
  6. 11.6Videos may contain music that Just Socials has obtained under an appropriate licence. If the Client wishes to use the Content commercially, for example in advertisements or on a business account for which the music is not freely available, the Client must notify Just Socials in advance so that Just Socials can choose suitable music. Just Socials is not responsible for videos being blocked or muted by social media platforms because of music rights for music that the Client has chosen or supplied.

Article 12 – Portrait rights, privacy and guests

  1. 12.1The Client is responsible for informing guests and other attendees that photos and videos will be taken, for example via the invitation or a sign at the entrance. For Events of Clients who are not Consumers, this also applies to employees and business contacts.
  2. 12.2If an attendee does not want to appear on camera, they tell the Client or Just Socials. Just Socials will take reasonable account of this, but cannot guarantee that someone will never appear on camera, for example in the background.
  3. 12.3Just Socials does not publish recognisable images of children without the permission of their parents or carers.
  4. 12.4Clients who are not Consumers are themselves responsible for obtaining the necessary permissions for the use of images of employees and guests in their own communication.
  5. 12.5Just Socials processes personal data in accordance with its privacy policy.

Article 13 – Confidentiality

  1. 13.1The parties treat confidential information as strictly confidential, including, at company Events, business information and parts of the programme that are not public.
  2. 13.2This obligation continues to apply for as long as the information in question has not become public.

Article 14 – Indemnification

  1. 14.1The Client indemnifies Just Socials against claims by third parties arising from materials supplied by or on behalf of the Client or from use of the Content in breach of these terms, including claims based on copyright or portrait rights.

Article 15 – Liability

  1. 15.1Just Socials is liable only for direct damage resulting from an attributable failure to perform.
  2. 15.2Total liability is limited to the amount the Client has paid for the assignment in question (excluding VAT), unless there is intent or gross negligence.
  3. 15.3Despite reasonable precautions, such as making backups, recordings may be lost or become unusable due to unforeseen technical failures, such as defective equipment or memory cards. In that case, Just Socials is only obliged to refund the amount paid for the component that could not be delivered.
  4. 15.4Just Socials is not liable for:
    • loss of profit and loss of turnover;
    • indirect damage and consequential damage;
    • reputational damage, negative reactions or reviews;
    • damage resulting from incorrect or incomplete information from the Client;
    • damage resulting from acts or omissions of third parties, such as the venue, guests or other suppliers;
    • blocks, restrictions or policy changes of social media platforms.
  5. 15.5For Consumers, limitations and exclusions of liability do not apply to the extent that mandatory law provides otherwise (see article 18).

Article 16 – Force majeure and inability to perform

  1. 16.1Force majeure means any circumstance beyond the control of Just Socials, including illness, accident, extreme weather conditions, transport or technical disruptions and government measures.
  2. 16.2Obligations are suspended for the duration of the force majeure.
  3. 16.3If Just Socials cannot cover the Event due to force majeure, it will make an effort to arrange an equivalent replacement in consultation or to find another date. If this is not possible, amounts already paid for Services not performed will be refunded. Any further compensation is excluded.
  4. 16.4If force majeure continues for longer than thirty (30) days, or the Event has become impossible as a result, either party may dissolve the Agreement without compensation. Amounts already paid for Services not performed will then be refunded.

Article 17 – Complaints

  1. 17.1Complaints about the Services or the delivered Content must be reported In Writing, and as specifically as possible, within fourteen (14) days after delivery or discovery.
  2. 17.2Just Socials responds within fourteen (14) days of receiving a complaint and, in consultation, looks for a suitable solution.
  3. 17.3A complaint does not suspend payment obligations. This does not apply to Consumers (see article 18).

Article 18 – Consumers

  1. 18.1If the Client is a Consumer, the provisions of this article apply to the extent that they deviate from or supplement the other articles. Mandatory statutory provisions protecting Consumers remain fully applicable. Where these terms conflict with them, the law prevails.
  2. 18.2If the Consumer has concluded the Agreement at a distance (for example by email, the contact form or WhatsApp), the Consumer may, to the extent the law gives them that right, dissolve the Agreement without giving reasons within fourteen (14) days of concluding it. This right of withdrawal does not apply to the extent the law makes an exception, for example for services relating to leisure activities that are carried out on a specific date or within a specific period. The Consumer notifies the dissolution In Writing. If Just Socials has already started performing at the Consumer's express request within the withdrawal period, the Consumer pays an amount proportionate to what has already been performed.
  3. 18.3If the Consumer is in default because they have not paid on time, they first receive a reminder with a payment period of at least fourteen (14) days. Only after that do they owe extrajudicial collection costs, at most the amount permitted by law.
  4. 18.4The provisions on payment without suspension, discount or set-off and on claims becoming immediately due and payable do not apply to Consumers. The Consumer retains their statutory powers, including the right to suspend payment in the event of a failure by Just Socials.
  5. 18.5The Consumer reports a complaint within a reasonable time, and in any case within two (2) months, after discovering the defect. The fourteen (14)-day period for approval in article 6 and for complaints in article 17 does not apply to Consumers.
  6. 18.6The Consumer may, within one (1) month after Just Socials has invoked article 20 In Writing, opt to have a dispute settled by the court that has jurisdiction under the law.

Article 19 – Amendment of the terms

  1. 19.1Just Socials reserves the right to amend these terms. Amendments are communicated in advance and do not apply to Agreements already concluded, unless agreed In Writing.
  2. 19.2The terms that applied at the time the Agreement was formed apply to an Agreement.

Article 20 – Governing law and disputes

  1. 20.1Dutch law applies to all Agreements.
  2. 20.2Disputes are submitted to the competent court in the district where Just Socials is established, without prejudice to the right of Consumers to opt for the court that has jurisdiction under the law (article 18).
